The following terms & conditions are agreed between the Client and the Supplier:

1. 1. The Client is the hirer of the services rendered by Merry Media LLP
   2. The Supplier is Merry Media LLP who is the service provider for the Client’s specific event, based on the Event or Project name stated above with a specific Date and Time window known as Service Block to provide the service.
   3. Booking Fees is the total amount agreed to Merry Media LLP for services rendered for your event.
      
      1. A confirmation deposit is required to confirm the services followed by a mutually signed agreement within the validity period of the quotation agreement.
      2. All fees shall be paid via Bank Transfer to Maybank Corporate Account: 040-610-833-33 (Acct name: “Merry Media LLP”) or via PayNow to UEN no. 53488568C by the stated due date on invoice.
      3. Any late payment will be subjected to interest of 5% every week.
      4. Upon request, payment via credit card is accepted, incurring a 3% service charge to the Client.
   4. Event Preparation:
      
      1. All requests & correspondences are to be made in writing to our main email [email protected].
      2. As we approach event day, please ensure to submit all required information for event preparation to the Supplier based on the checklist sent by the Supplier.
      3. Pre-Event Emcee Meeting: Included in the emcee service is a virtual meeting with the Emcee, up to 40 minutes, prior to the event day. The Client is to ensure that the checklist and event information is sent to the Supplier at least 2 days, prior to the meeting.
      4. Permits and Licenses: The application and fees of any required licences and/or permits required for the hired services are not included. For BGM to be played from our sound system, permits and licenses application is to be borne by the Client.
   5. Adaptation to Changing Circumstances:
      
      1. In cases where government regulations prohibit physical live performances, Merry Media LLP will transition the booked live performance to a high-definition virtual livestream format without additional costs. This includes adapting talent fees and production costs, such as sound system booking and instrument rentals, to suit the virtual format.
      2. Merry Media LLP will comply with governmental and local authority directives, adapting services as necessary to align with any changes in law or regulations.
   6. Timing & Duration:
      
      1. Talent services are provided during the designated Service Block on the Event Day. For example, a live band’s two 45-minute sets will be within a scheduled three-hour block.
      2. Emcee services, if hired as an add-on of the same Talent doubling up from the live band service, must fall within the same service block.
      3. Set-Up: Sound system setup begins 2 hours before the start of the service block, with Talents arriving 30 to 60 minutes prior for a 10-15 minute soundcheck. Briefings can commence post-soundcheck.
      4. Vendor Meal Arrangements: Meals for talents and crew are scheduled during the start of the soundcheck timings. Meal provision is mandatory for venues with limited food access (Faber Peak, Sentosa, Tuas, Keppel Island, Changi, Jurong Island, and such).
      5. Delegated Soundcheck: In instances where the Talent is engaged in a prior appointment, soundcheck and briefing responsibilities may be delegated to a qualified sound engineer or representative of the Supplier.
      6. Minimum Booking Duration: Live Performance Bookings under 30 minutes are billed at the 30-minute rate. Emcee Bookings under 2 hours are billed at the 2 hours rate.
      7. Changes and Special Requests: Adjustments to agreed timings or additional requests must be formally approved via email, subject to availability and additional charges.
   7. Sound System:
      
      1. The Client is to supply the Talent with the necessary support based on the Talent’s Technical Rider specifications to facilitate optimal performance.
      2. Prior to the start of the service block, a soundcheck will be carried out within a mutually agreed timeframe to confirm the sound system’s proper functionality and its suitability for the live band and emcee’s performance needs.
      3. If Emcee services are engaged, a wireless mic connected to a professional sound system is to be provided to the emcee to execute its duties.
   8. Additional Provisions:
      
      1. Rehearsals: Booking fees exclude rehearsals outside the event day schedule. Client-requested rehearsals beyond booked hours are subject to availability and additional charges.
      2. Talent Representation: The Client must accurately represent the Talent as “Merry Bees/Merry Media” in all audio-visual materials and host/emcee announcements.
      3. Service Independence: Each service in this agreement is treated independently. In case of a lapse in a specific service, fee adjustments or remedies will be confined to that service alone, not affecting other services or their charges.
      4. For Muslim Talents, meals are to be free of pork and lard, with breaks aligned with prayer schedules.
2. 9. Cancellations
      
      1. Deposits: All deposits are non-refundable and non-transferable once the booking is confirmed for the specified event date and time.
      2. Client-Initiated Cancellations:
         • Cancellations 150 to 91 days before the event: 50% of the booking fee applies.
         • Cancellations 90 to 61 days before the event: 75% of the booking fee is charged.
         • Cancellations within 60 days of the event: 100% of the booking fee is charged.
      3. Cancellations must be in writing, with fees payable within 14 days.
      4. Talent Cancellations: In the event of a cancellation by any Talent due to unforeseen circumstances, the Supplier will promptly notify the Client and arrange a suitable replacement. This work will be undertaken at no extra cost. If the substitute’s fees differ, adjustments will be made and agreed upon with the Client.
   10. Others:

       Option 1: Full Setup by Supplier

       10.1 Sound System

       The equipment hired belongs to the Supplier and by default is rented to support the live Talent performance only in an indoor venue with direct lift access at ONE location. Should there be movements to another location within the event venue OR dismantling of equipment be required to be carried up via stairs or forklift, OR outdoor setup is required, additional charges will apply.

       • 10.1.1 Any other requirements to support the event’s other items/performances must be informed to Merry Media LLP at least 7 days before the event and will be subjected to additional availability and charges.
       • 10.1.2 The 2 FOH sound system is meant for an indoor venue of less than 250 pax (as per seating arrangement of 10 pax per table). If the venue is larger, additional 2 FOH speakers are recommended at a top-up of $200.
       • 10.1.3 In case of any fault on equipment/service supplied, Merry Media LLP will provide replacement/remedy as soon as the schedule allows. Merry Bees Pte Ltd’s liability is limited to itemized waiver of the amount charged for and not liable for other costs/consequential loss.
       • 10.1.4 If the Suppliers’ equipment and sound system is damaged by the Client or its guests, the Client will be responsible for undertaking the costs of repair/replacement for the damage caused.
       • 10.1.5 For outdoor setups, the mixer console and sound system must be placed in a sheltered space and all electronic sockets/power sources must be provided to the Supplier. The Client will agree to all liabilities to be borne by the Client. Weather checks must be conducted -3 days, -1 day and -2 hours prior to setting up. Every outdoor event must have a sound plan B ready to be activated should inclement weather is indicated -2 hours to the event. Should the weather conditions be not ideal and the Client insists on proceeding with the outdoor setup, any damages, stains, dirt, or wetness to the equipment will be compensated to the Supplier.

       Option 2: Partial Setup by Supplier

       10.1 Tech Rider & Partial Sound System Setup:

       • 10.1.1 The Client will provide all necessary equipment listed in Annex A for the Performer to support their performance including an experienced sound engineer except for items marked (*) which will be provided by the Performer to link up to the venue’s sound system.
       • 10.1.2 The Client is to seek permission from the venue to allow the Performer to link up and utilise their Front-of-House speakers. A technician from the venue must be on standby to assist with the link up.
       • 10.1.3 The Performer is not liable and will not be required to sign any liability agreements or contracts with the venue for utilising the speakers of the venue.
       • 10.1.4 The Client shall ensure ample time for set-up and dismantle of all the above equipment.
       • 10.1.5 If the Performers’ equipment and sound system is damaged by the Client or its guests, the Client will be responsible for undertaking the costs of repair/replacement for the damage caused.

       Option 3: Fully Provided by Client

       10.1 Sound System & Tech Rider to be provided by the Client

       • 10.1.1 To avoid delay, all equipment listed in the Tech Rider is to be laid out according to the Tech Rider prior to the arrival of the Talent.
       • 10.1.2 Should there be any changes to or unavailability of the initially agreed upon equipment on the day of the event, the Talent retains the right to demand the provision of the specific model of equipment as originally agreed upon.

       10.2 Entertainment

       10.2.1 Live Band:

       • 10.2.1.1 For song selection, the Client is to select from the Talent’s repertoire of songs. If the songs selected by the Client are out of the Talent’s repertoire, the Client may select up to 5 new songs for the Talent to prepare although the Talent is not obligated to learn any songs selected out of their repertoire.
       • 10.2.1.2 Each Talent’s repertoire will be different from another and cannot be imposed on another Talent’s repertoire.
       • 10.2.1.3 Any special arrangement of mash ups or medleys are subject to availability and charges. Creative and music direction are solely at the discretion of the Talent.
